Capellas: 'We Will Have A Very Comfortable Margin'

"We will have a very comfortable margin," Capellas said in an interview with CNBC. He noted that the company has spent much time speaking with institutional investors and was confident it had their sentiments gauged correctly.

Compaq shareholders are slated to meet Wednesday to cast their own, separate vote on the merger, a day following HP's shareholder meeting. Analysts and observers have said all along they expect Compaq investors to all but rubber-stamp the proposed merger with HP.

"We obviously have insight as to how they will vote," he told the cable business news network.

Capellas spoke hours after HP executives declared victory in their hard-fought battle with dissident HP director Walter Hewlett. Capellas acknowledged that he and others were talking to HP investors until the last minute, hoping to rally enough votes to beat back Hewlett's strident opposition.
