Ranger Targets New CA Director In Proxy Fight

The Dallas-based investment firm said in a filing with the Securities and Exchange Commission that it has added Thomas Wyman, former chairman, president and CEO of CBS, to the list of five CA board members it is seeking to oust.

The other board members Ranger Governance plans to challenge are Chairman Charles Wang, President and CEO Sanjay Kumar, Executive Vice President Russell Artzt and independent director Alfonse D'Amato.

Previously, Ranger Governance had targeted Director Willem F. P. de Vogel. However, CA Tuesday said de Vogel and three members of the 11-member board would not stand for re-election during the annual shareholder meeting, scheduled for Aug. 28.

The company named four new directors, including Wyman, to replace them.

CA said de Vogel is stepping down in accordance with recently adopted policies that limit outside directors to serving a maximum of eight years on the board.

Ranger Governance, the investment firm spearheaded by entrepreneur Sam Wyly, last year lost a caustic battle for four seats on CA's board.

Stephen Perkins, president of Ranger Governance and one of its nominees, was not available for comment.

In an interview with CRN Tuesday, Perkins said the company was more focused on establishing its minority slate than on selecting the director it would target in place of de Vogel.

"It stands to reason that with some of the people who have been on there the longest, probably the shareholders would be better served if somebody new got in," Perkins said.

A Ranger Governance spokesman offered no specific reason Wyman had been chosen.

CA declined the opportunity to comment.

Shares of CA Thursday closed down 96 cents at $12.09.
