PalmSource Shakes Up Board

Eric Benhamou, who ran Palm Inc. and has been chairman of the board of both companies that spun off of Palm -- palmOne and PalmSource -- will resign from the latter company's board, PalmSource said in a statement Friday. The resignation will take effect after the annual stockholder's meeting on Oct. 28.

Palm Inc. originally spun off of 3Com. More recently, PalmSource, which develops the Palm OS, and palmOne, which develops mobile devices, spun off of Palm.

In addition to Benhamou's departure, PalmSource announced that board member Satjiv S. Chahil, who formerly was chief marketing officer of Palm Inc., will not stand for re-election to the PalmSource board.

Both Benhamou and PalmSource said the moves were made to further the separation of PalmSource and palmOne.

"PalmSource and palmOne have firmly established themselves as separate, publicly traded companies," Benhamou said in a statement. "Their relationship has now fully transitioned to the scope and processes appropriate for two independent companies. Their boards, too, must evolve toward greater independence, consistent with prevailing governance practices."

Benhamou will continue to serve as chairman of the board for palmOne.
